AUCTION REGISTRATION: In order to register for the auction, you must confirm that you have done your own pre-registration due diligence or plan to inspect the property prior to the auction's conclusion. Additionally, you must confirm that you have reviewed the provided materials including these Terms, the Title Commitment, Purchase and Sale Agreement, and all due diligence documents posted for the property. You must provide Proof of Funds showing that you have sufficient funds to cover the required 10% Earnest Money deposit payment. A current bank statement in the bidder's name, with the account number blacked out, should be emailed to Patty.Brown@bhhsgeorgia.com.

The online registration, written agreement to the Terms, and submission of Proof of Funds will need to be completed before online bidding is enabled. Auctioneer may, at his discretion, accept additional methods of financial approval. Last-minute registration is not guaranteed to be processed and it’s recommended to provide all documentation 24 hours in advance of the auction deadline. There will be NO opportunity for post auction property inspections or due diligence period, prior to closing.

AUCTION INFORMATION: All available material and updates are posted to our website. Due diligence materials, Auction Purchase and Sale Agreement, Broker Registration forms, and other information may be obtained by visiting the website www.AuctionGroupGA.com and look for the auction of interest. Sale is subject to seller confirmation and is also subject to early acceptance of pre-auction offer.

BUYER'S PREMIUM: Properties will be sold with a ten percent (10%) buyer's premium. The bid amount plus buyer's premium equals the final purchase price. For example: A $100,000 bid, plus the 10% ($10,000) buyer's premium, equals the $110,000 final purchase price.

INSPECTION: No interior inspection - Do not disturb tenants. Please ask all questions prior to bidding. 

KEYS & TENANTS: Neither Auctioneer nor Seller warrant key availability on any property. If available, keys will be provided at closing. However, Purchaser is strongly advised to re-key the property immediately after closing. In the event there are leases on the property, Purchaser agrees to assume Seller's responsibility thereunder to the tenant(s) and broker(s) who negotiated such leases.  

LEAD BASED PAINT DISCLOSURE: When applicable, if a home on a property was built prior to 1978. A Lead-based disclosure and brochure will be provided to the Purchaser prior to bidding on the property. This property is selling on an “as-is'' basis.  All bidders prior to registration approval for the auction, will sign the Lead-based paint disclosure form waiving the opportunity to conduct any future assessments or inspection for the presence of lead-based paint.

CONDUCT OF THE AUCTION: This is an online auction. The auction ends when the highest bid is placed, with no additional bidding on any property within 5 minutes of the last bid placed. Bid increments and bidding methodology are subject to change at the sole discretion of the auctioneer. This auction is selling subject to seller confirmation.

EXTENDED BIDDING: This auction uses an extended bidding feature. Any bid within the last five minutes of bidding starting on Thursday, December 18 @ 1:15pm EDT causes an automatic 5 minute extension of the bidding. When 5 minutes pass with no more bidding on any property, bidding will close.

GROUPED EXTENSION: All assets in the auction are in the same extension group, which means that a bid placed on any of the assets extends the bidding on all assets for 5 minutes. When 5 minutes pass with no bidding on any asset, the auction closes. Bid increments and bidding methodology are subject to change at the sole discretion of the auctioneer.

EARNEST MONEY REQUIREMENT: Winning online bidder (Buyer) must deliver earnest money via wire transfer immediately following the auction (See Auction PSA), in the amount of ten percent (10%) of the purchase price (calculated by adding the high bid amount plus a 10% buyer’s premium). Escrow Agent, Weissman Law, is also Closing Attorney for these transactions. Balance will be paid in full at closing. The successful bidder (Buyer) will be notified immediately following the closing of the auction and emailed the PSA to electronically sign and return.

ESCROW AND CLOSING AGENT: Weissman Law will serve as closing attorney to close the transaction and must be reimbursed for that service by Buyer at closing, as well as being reimbursed by Buyer for the title commitment. PURCHASING AND CLOSING: Buyer shall execute an Auction Purchase and Sale Agreement (“Auction PSA”) for the property immediately after being declared the successful bidder by Auctioneer. A form Auction PSA is available at our website prior to the auction. The Auction PSA which Buyer must sign after the auction contains an acknowledgment that Buyer has inspected the property prior to the auction, is relying solely on his/her inspection, and is purchasing the property As-Is with all faults and without reliance on any warranty of any kind whatsoever. Any remaining debris or personal property in vacant properties on closing day will not be removed by seller and will convey with property. NO CHANGES WILL BE MADE TO SAID AUCTION PSA OR ANY EXHIBITS ATTACHED THERETO, AND BUYER WILL BE OBLIGATED TO EXECUTE AND DELIVER SAID AUCTION PSA ON AUCTION DAY. Provided, however, Seller reserves the right to modify or amend said Auction PSA, to complete blank sections, to attach appropriate exhibits, and to comply with state and local laws as may be enacted or amended from time to time. Earnest Money must be in the form of wire transfer only. Closing must occur by 30 days after auction day. This deadline must be met unless extended in writing by mutual consent of the parties. Balance of purchase price will be paid in full at closing. Buyer not closing within the contractual time period to close will forfeit his/her earnest money deposit.  

FINANCING: Please note that financing is NOT a contingency of this transaction. Because financing is NOT a contingency, all potential bidders must make certain in advance that they can obtain the necessary financing to close the transaction.

To qualify for a commission, the Broker must register by email with the prospect’s name and address on the Broker Registration form available as a download at the AuctionGroupGa.com website listing, prior to bidder registration or at the same time as a pre-auction offer submission. The form must be signed by the prospect and the Broker, and must be received at Patty.Brown@bhhsgeorgia.com no later than 24 hours prior to the published auction bid deadline. Compensation to be paid only upon closing. A Broker cannot act as a principal and a broker on the same transaction. A Broker cannot represent an immediate family member.

BUYER'S NOTE: Auctioneer reserves the right to add or delete property from this auction or to alter the order of sale from that published herein. Failure to inspect property prior to auction does not relieve Buyer of contractual obligations of purchase. Property sells As Is - Where Is with no warranties expressed or implied. Real property to be conveyed by Special Warranty Deed. 10% Buyers Premium will be held by Escrow Agent on Seller’s behalf as a part of the 10% Earnest Money. Seller shall pay Auctioneers commission and prorated portion of 2026 Real Estate taxes and any title corrective expenses No closing expenses will be paid by Seller, including but not limited to escrow fees, survey, title examination, title insurance, transfer taxes, 100% of closing fees charged by Closing Agent, loan closing costs, and Buyer’s attorney fees.

Auction Specifics additional terms and conditions:

1.    Property sold “As-Is, Where-is”. No warranties, guarantees, or representations, express or implied, are made by the Seller or Auctioneer regarding the condition of the property, its improvements, systems, appliances, environmental status, zoning, or suitability for any particular use. Buyers acknowledge they are purchasing at their own risk.

2.    No Repairs or Seller Concessions. Seller will make no repairs, replacements, concessions, or alterations of any kind before closing. Buyer waives any request for repairs or price reductions.

3.    No Inspections Prior to Bidding. No inspections of the property will be permitted before bidding, including but not limited to: Home Inspections, Structural Inspections, Pest, Mold, or Environmental Inspections, Surveys or Boundary Verifications, Septic or Well Inspections (if applicable).  Buyers may not enter the property unless specifically permitted by the Auctioneer in writing. Any information provided is for convenience only and may not be relied upon.

4.    Buyer Beware. The sale is subject to the doctrine of caveat emptor (buyer beware) under Georgia law.
Bidders are responsible for conducting any research they deem necessary using public records, drive-by viewing, or independent verification prior to bidding.

5.    No Contingencies of Any Kind. The sale is NOT contingent upon: Financing, Appraisal value, Inspection results, Survey results, Sale of another property, Insurance underwriting, or any due diligence period.
There is zero due diligence period after the auction.

6.    Earnest Money Deposit (Non-Refundable). The highest bidder (“Buyer”) must deliver a non-refundable earnest money deposit equal to 10% of the purchase price by wire transfer, immediately after executing the PSA and within 3 hours of the auction’s conclusion. Deposit is non-refundable for any reason. Failure to timely remit the deposit may constitutes immediate default.

7.    Binding Contract. Upon the auctioneer’s declaration of “Sold,” the high bid becomes a binding and irrevocable purchase contract. Buyer must sign the Auction Purchase and Sale Agreement immediately after the auction (or electronically, if applicable). Sale is subject to seller confirmation and is also subject to early acceptance of pre-auction offer.

8.    Closing. Closing shall occur on or before 30 days from the auction date at a closing attorney licensed in Georgia chosen by the Seller, unless otherwise stated. All closing costs shall be allocated as provided in the Purchase and Sale Agreement. Failure to close for any reason other than Seller default results in forfeiture of all deposits as liquidated damages.

9.    Title. Seller will convey marketable title by Limited Warranty Deed (or other deed form described).
Buyer accepts title subject to all matters of record, including easements, covenants, rights-of-way, and applicable zoning.

10.Default. If Buyer defaults, Seller may: Retain all deposits as liquidated damages, and pursue additional remedies as allowed by Georgia law, including specific performance or damages.

11. Governing Law. This sale shall be governed by and interpreted under the laws of the State of Georgia.
